A legal term that describes the process of making the company principals personally liable for the debts and obligations of the company. This occurs if the court decides to disregard the company as a separate legal entity. The best way to protect against this is to maintain your company records accordingly, hold any annual required meetings, keep a separate bank account for your company, maintain a registered agent, file tax returns and file any required annual reports.
