Colorado to Implement New Registered Agent Requirements! Effective July 1, 2025

CO House Bill 24-1137 Changes Verification Process for Registered Agents

Colorado is rolling out important updates to its registered agent rules, thanks to House Bill 24-1137. These new requirements are designed to combat fraudulent business activity and ensure more accurate public records—but they also introduce additional obligations for anyone serving as a registered agent.

What’s New?

Starting July 1, 2025, the Colorado Secretary of State will begin enforcing stricter verification measures for both individuals and businesses acting as registered agents.

For Individuals Acting as Registered Agents

Individuals must now verify Colorado residency in one of two ways:

    • Provide a valid Colorado driver’s license or ID, or
    • Complete the alternative address verification process offered by the state.

To qualify, individual agents must:

    • Be 18 years or older,
    • Hold a valid Colorado ID, and
    • Maintain either a primary residence or a usual place of business in Colorado.

A “usual place of business” means a physical Colorado address where the individual is personally available during normal business hours to receive service of process.

For Entities Serving as Registered Agents

If a business—such as Accumera LLC—is acting as a registered agent, it must:

    • Be properly registered to do business in Colorado, and
    • Remain in good standing with the Secretary of State.

How Does the Alternative Verification Work?

For those who choose not to upload a Colorado ID, the state offers an address-based passcode process. However, this route takes more time and can delay filings.

Here’s a quick breakdown:

    • Submit the agent’s name and valid Colorado street address to request a passcode.
    • The state mails the code to the address via USPS.
    • Once received, return to the online system and enter the code to verify.
    • Passcodes expire 45 days from the issue date.

While useful, this method may not be ideal if your filings are time-sensitive.
