Company Name:

The name shall contain the word "corporation", “company”, "incorporated" or "limited" or an abbreviation of one of such words, "Inc.", "Corp.", “Co.” or "Ltd."

The name shall be as such to distinguish it from the names of other companies of any kind. The name cannot contain words or phrases which indicate that it is being formed for any other purpose then stated in the Articles of Incorporation.

Company names in West Virginia can be reserved for 120 days.

Formation Document:

The formation document required to file a corporation in West Virginia is called the Articles of Incorporation. The information listed in the Articles of Incorporation includes, but not limited to, the name of the company, e-mail address for correspondence with the corporation, purpose, type of corporation (for-profit or not-for-profit), shares, par value, incorporators name, address and signature, contact person name, phone number, and signature, principal office address physical and/or mailing if different, amount of land expected to own, whether the corporation with be a scrap metal dealer, and registered agent name and address.

Professional Corporations:

West Virginia law does allow for the formation of Professional Corporations (PC's).

Directors/Officers:

Corporations are managed by their Board of Directors. The minimum number of directors required in West Virginia is 1 and there is no age requirement. The Board of Directors elects the company officers, President, Vice President (if applicable), Secretary and Treasurer. The terms of office are stipulated in the company bylaws.

Bylaws:

The company bylaws regulate the way in which your company will be run. The bylaws are adopted at the initial meeting of the directors and are updated as needed. Annual Requirements:

All West Virginia corporations will be required to file an annual report every year with the Department of State. The statement will request updated information on the name and address of the chief executive officer, the principal executive office, and the address for service of process. The report is due annually June 30th starting the year after formation and the State sends notices to principal office address on record in January. Failure to file the annual report may result in the company becoming inactive.

Assumed Name DBA:

Corporations can register a Trade Name (DBA) with the West Virginia Secretary of State Corporations Division. If a corporation desires to conduct activities under a name other than its true legal name, an Application for Trade Name must be filed with the Secretary of State. The DBA name must meet the same name availability requirements as a newly formed entity, however, cannot include the corporate endings "corporation", "incorporated" or "limited" or an abbreviation of one of such words.

Dissolution:

West Virginia provides a procedure for voluntarily dissolving a domestic corporation by filing with the Secretary of State an Articles of Dissolution The Secretary of State will then request clearances from the West Virginia State Tax Department, Employer Coverage Unit (Workers Compensation) and Department of Employment Security. After those clearances are received in writing by the Office of Secretary of State a Certificate of Dissolution will be prepared and mailed to the address given on the Articles of Dissolution.

Taxation:

New entities should obtain a Federal Tax Identification Number (FTIN), also known as an Employer Identification Number (EIN), from the IRS. Further, if your corporation wants to apply for S-Corporation Election it should be applied for right after formation. In West Virginia an application for S-Corporation Election is required to be filed with the IRS. An application for S-Corporation Election is not required to be filed with the West Virginia State Tax Department.
