Company Name:
The name shall contain the word "corporation", “company”, "incorporated" or "limited" or an abbreviation of one of such words, "Inc.", "Corp.", “Co.” or "Ltd."
The name shall be as such to distinguish it from the names of other companies of any kind. The name cannot contain words or phrases which indicate that it is being formed for any other purpose then stated in the Articles of Incorporation.

Formation Document:
The formation document required to file a corporation in Montana is called the Articles of Incorporation. The information listed in the Articles of Incorporation includes, but not limited to, the name of the company, officers, shares, par value, incorporators name, address, signature, phone number and email, and registered agent name, address and signature.
Professional Corporations:
Montana law does allow for the formation of Professional Corporations (PC's).
Directors/Officers:
Corporations are managed by their Board of Directors. The minimum number of directors required in Montana is 1 and there is no age requirement. Assumed Name DBA:
Corporations can register an Assumed Name (DBA) with the Secretary of State. If a corporation desires to conduct activities under a name other than its true legal name, a certificate complying with Section 30-13-203 of the Montana Code Annotated must be filed. The DBA name may not use a business name identifier that incorrectly states the type of entity it is and its registration must be renewed every five years.
Dissolution:
Montana provides a procedure for voluntarily dissolving a domestic corporation by filing with the Secretary of State an Articles of Dissolution pursuant to Section 35-1-933 of the Montana Code Annotated. A certificate from the Montana Department of Revenue stating that all taxes imposed pursuant to Title 15 have been paid must be attached. If the corporation has not issued shares of commenced business an Articles of Dissolution pursuant to Section 35-1-935 of the Montana Code Annotated should be filed with the Secretary of State.
Taxation:
New entities should obtain a Federal Tax Identification Number (FTIN), also known as an Employer Identification Number (EIN), from the IRS. Further, if your corporation wants to apply for S-Corporation Election it should be applied for right after formation. In Montana an application for S-Corporation Election is required to be filed with the IRS. A Not-For-Profit organization that does not have members will be governed by its board of directors as is the case with most charitable organizations.

If the nonprofit corporation is a public benefit or religious corporation a Notice of Dissolution pursuant Section 35-2-722 of the Montana Code Annotated should be filed.

The company must file Form 1023 for charitable organizations or Form 1024 for other types of tax exempt organizations in order to apply for tax-exempt status.
